It means the file was created in an earlier version of Illustrator, that it contains at least one text element, and that the way Illustrator handles text is not the same as it was. It doesn't matter whether you update now or later, but there is a chance the text will change in some way such as the spacing or kerning.

If you still have the older version of Illustrator installed, open the file in that first so you can compare it after you do the update in CS4.

I've never seen any noticeable change myself but exercise caution until you're comfortable with it.

No it means the fonts will change spacing and formatting slightly. This started with I believe the CS suite. Newer versions of the software are supposedly "smarter " than the previous and make slight changes to the aforementioned. So if you open a cs2 file in cs3 and the fonts are live it will give you this warning.

If you don't update the font you cannot edit the wording, export for another program or convert to paths/outlines for vector output (cutting for instance). You probably won't notice for small amounts of text but a whole paragraph might do something such as make a word shift from one line to another or line up differently. So the best choice is to open the file as is, and then visually watch all the text when you "update". If you see any shifts or layout changes then you will need to readjust. If you don't, then don't worry about it
